The former Wolves and Sheffield Wednesday forward man spent much of last season on the sidelines after suffering a broken ankle in November.
But the 31-year-old was given the chance to extend his stay at the New Bucks Head into a third season following a revised offer last month.
Sinton is still hopeful of retaining Proudlock but admits he has 'other irons in the fire' in his position if a deal cannot be reached.
"He has said no to the offer we made him," said the former Spurs,Wolves and England midfielder. "He is on holiday now but we will sit down when he comes back.
"Adam when he is fit is a good player and we want to keep him. We have made him an offer we feel is fair but as it stands he has said no."
Meanwhile the 46-year old Bucks boss is still working hard to add to his squad ahead of the new Blue Square Premier campaign but he does not expect any further developments in the next week.
"We have had meetings before the bank holiday with a couple of players which were positive," he said. "I wouldn't have thought anything will happen for the next 10 days ."
So far Luke Hubbins remains the only summer signing for the Shropshire side.
